Terms of Service
Last updated: October 2026
Please read these Terms of Service (“Terms”, “Agreement”) carefully before using TypePalette (“the Software”, “the Application”, “the App”) operated by the developer (“we”, “us”, “our”).
By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Software.
1. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on devices that you own or control, as described in Sections 1.1 to 1.5. These rules apply no matter where you downloaded the Software.
1.1 Personal Use Is Free
You may use the Software free of charge for personal use. “Personal use” means use for your own purposes that are not part of your work — for example, personal email, household lists, hobby projects, or your own AI prompts.
1.2 Work Use Requires a Commercial License
If you use the Software for work, you need an active Commercial License for each person who uses it. “Work” means any use as an employee, contractor, freelancer, or business owner, or on behalf of a company or other organization. Examples include replying to customers, sending sales, recruiting, or client emails, and answering messages for an online store.
- Per person, not per device. One Commercial License covers one named person on any Macs that person uses, whether personal or provided by an employer.
- Annual subscription. A Commercial License is billed yearly and renews automatically until you cancel. It includes all updates released while it is active. You can cancel at any time through the subscription management link on your invoice or by emailing us; the license stays active until the end of the paid year.
- Priority Support. An active Commercial License includes Priority Support as described in Section 10.2.
- Adding or removing people. You can add licenses at any time; you are charged a prorated amount for the rest of the current year. You can reduce the number of licenses at your next renewal.
- After a license ends. The Software keeps working and your data is unaffected, but work use is no longer covered once a license is cancelled, not renewed, or refunded.
- Where to buy. You can buy Commercial Licenses on our website (typepalette.com) or by emailing us. Payment, taxes, and invoices are handled by the payment provider named at checkout or on your invoice. Commercial Licenses are not sold inside the Software.
- Honor system. The Software does not ask for a license key and does not limit any feature. Using the Software for work without a Commercial License, other than as allowed in Section 1.3, is a breach of these Terms.
1.3 Free Exceptions for Work Use
You do not need a Commercial License for:
- Evaluation: trying the Software for work for up to 30 days before deciding whether to buy.
- Students: coursework and other study.
- Education: teachers and staff of primary and secondary schools, colleges, and universities, for teaching and school-related work.
- Nonprofits: staff and volunteers of registered nonprofit or charitable organizations, for the organization’s nonprofit work.
1.4 Not Sure Which Applies?
If you are unsure whether your use needs a Commercial License, contact us at the email address in Section 18 and we will tell you.
1.5 Restrictions
You may NOT:
- Copy, modify, or distribute the Software
- Reverse engineer, decompile, or disassemble the Software
- Rent, lease, lend, sell, or sublicense the Software
- Use the Software for any unlawful purpose
- Remove or alter any proprietary notices or labels on the Software
2. Intellectual Property
The Software and all related intellectual property rights are and shall remain the exclusive property of the developer. These Terms do not grant you any rights to trademarks, service marks, or logos used in connection with the Software.
3. User Data and Privacy
3.1 Local Data Storage
TypePalette stores all user data locally on your device or in a directory you specify (including cloud drive folders). The Software does not collect, transmit, or give us access to any of your data. If you buy a Commercial License, we receive limited order information as described in our Privacy Policy.
3.2 Data Responsibility
You are solely responsible for:
- The content you create, store, or manage using the Software
- Backing up your data
- Ensuring your data does not violate any applicable laws
- Securing access to your devices and storage locations
3.3 No Data Recovery
Because we do not store or have access to your data, we cannot recover lost, corrupted, or deleted data under any circumstances . You acknowledge and accept this limitation.
4. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS
- RESULTS THAT MAY BE OBTAINED FROM USE OF THE SOFTWARE
- COMPATIBILITY WITH ANY OTHER SOFTWARE, HARDWARE, OR SYSTEM
We do not warrant that:
- The Software will meet your requirements
- The Software will be uninterrupted, timely, secure, or error-free
- The results obtained from the Software will be accurate or reliable
- Any errors in the Software will be corrected
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
-
DAMAGES RESULTING FROM:
- Your use or inability to use the Software
- Any unauthorized access to or alteration of your data
- Any third-party conduct related to the Software
- Any interruption or cessation of the Software
- Any bugs, viruses, or similar issues transmitted through the Software
- Any errors or omissions in the Software
- Any data loss or corruption
- Any damage to your devices or systems
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
6. Indemnification
You agree to indemnify, defend, and hold harmless the developer from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from:
- Your use of the Software
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you create, store, or distribute using the Software
This indemnification obligation shall survive the termination of these Terms and your use of the Software.
7. Dispute Resolution
7.1 Informal Resolution
Before filing any formal legal proceeding, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice describing the dispute to our contact email. We will attempt to resolve the dispute within 30 days.
7.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved exclusively through binding arbitration , rather than in court.
- Arbitration shall be conducted in accordance with the rules of the arbitration body agreed upon by both parties
- The arbitration shall be conducted in the English or Chinese language
- The arbitrator’s decision shall be final and binding
- Judgment on the arbitration award may be entered in any court of competent jurisdiction
7.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
You waive any right to participate in a class action lawsuit or class-wide arbitration against the developer.
7.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
9. Refund Policy
9.1 30-Day Refund
If you are not satisfied with a Commercial License, contact us within 30 days of any charge — the first purchase or a yearly renewal — for a full refund of that charge. No reason is required. After a refund, the refunded license no longer covers work use.
9.2 Your Statutory Rights
This refund policy does not limit any rights you have under applicable consumer protection laws.
10. Updates and Modifications
10.1 Software Updates
We may release updates, upgrades, or new versions of the Software at our sole discretion. We are under no obligation to provide updates, and any updates may modify or remove features.
10.2 Priority Support
While a Commercial License is active, the people it covers receive Priority Support:
- Priority email replies. We aim to reply within 2 business days.
- Priority for reported bugs. Bugs you report are given priority when we plan the next update.
- Deployment help. We help with questions about installing and running the Software on company-managed Macs, such as permissions and data folder setup.
To receive Priority Support, include your invoice number or the email address used for the purchase when you contact us.
Response times are targets, not guarantees. Priority Support does not guarantee that a particular bug will be fixed, that a fix will be released by a particular date, or that the Software will work with any particular app, device, or macOS version. Fixes and updates are released to all users of the Software, not only to Commercial License holders. Section 4 continues to apply.
Anyone else may contact us by email. We read every message but do not commit to a response time.
10.3 Terms Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last Updated” date. Your continued use of the Software after such changes constitutes acceptance of the new Terms.
11. Termination
11.1 By You
You may terminate this Agreement at any time by uninstalling the Software and ceasing all use.
11.2 By Us
We may terminate or suspend your license immediately, without prior notice, for any reason, including but not limited to breach of these Terms.
11.3 Effects of Termination
Upon termination:
- Your license to use the Software is revoked
- You must uninstall and destroy all copies of the Software
- Sections 2, 4, 5, 6, 7, and 8 shall survive termination
12. Third-Party Services
The Software may interact with third-party cloud storage services (e.g., Dropbox, iCloud Drive, Google Drive). Your use of such services is governed by their respective terms and privacy policies. We are not responsible for any third-party services.
13. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.
14. Entire Agreement
These Terms constitute the entire agreement between you and the developer regarding the Software and supersede all prior agreements and understandings, whether written or oral.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
16. Waiver
The failure of the developer to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
17. Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
18. Contact Information

19. Acknowledgment
BY USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.
